Partner Program Agreement

This Agreement is incorporated by reference into the CLV Intelligence Terms of Service. In the event of conflict, this Agreement controls with respect to referral commission matters.

1. Parties and Acceptance

This Partner Program Agreement (“Agreement”) is between CLV Media, LLC, a North Carolina limited liability company (“Company,” “we,” or “us”) and the individual or entity that completes self-enrollment via the Partner Portal (“Partner” or “you”). By completing enrollment you represent that you have authority to enter this Agreement and you accept its terms in full.

2. Program Overview

The CLV Intelligence Partner Program enables Partners to earn referral commissions by directing new subscribers to the CLV Intelligence platform at clvintelligence.com. Each Partner receives a unique referral code and corresponding referral link. The Company tracks attributions, records commissions, and processes payouts automatically per the schedule in Section 6.

3. Attribution Window

When a prospect clicks a Partner’s referral link, a first-party attribution cookie is set in the prospect’s browser with a lifetime of 60 days. A subscription or audit pack purchase completed within that 60-day window is attributed to the Partner. Attribution is last-click; if a prospect clicks referral links from multiple Partners, the most recent click controls.

Attribution cookies are not shared across devices or browsers. The Company makes no guarantee that a prospect’s browser will preserve the cookie for the full 60-day window (e.g., private browsing, cookie-clearing tools, or browser restrictions may shorten effective attribution).

4. Commission Rates

Commissions are calculated on gross subscription or purchase revenue collected by the Company, before any Stripe processing fees, refunds, or chargebacks.

4.1 Subscription Commissions

For each referred subscriber, the Partner earns 20% of gross monthly subscription revenuefor each of the first 12 consecutive months in which the subscriber’s invoice is successfully paid. The commission is recorded per invoice, not as a lump sum.

Figures are illustrative and assume the subscriber remains on the same plan for the full 12-month earning window. Actual commissions depend on the plan in effect at each invoice date.

4.2 Audit Pack Commissions

For each referred one-time audit pack purchase, the Partner earns a flat 20% of the gross purchase price, paid as a single commission once the purchase is confirmed and any applicable refund window has elapsed (14 days from purchase).

4.3 Rate Changes

The Company may modify commission rates with 30 days’ written noticeto the Partner’s registered email address. Rate changes apply to new referral attributions recorded after the effective date of the change. Commissions already recorded against existing attributed subscribers continue at the rate in effect when that subscriber first converted.

5. Commission Earning Window

Subscription commissions are earned for a maximum of 12 consecutive monthly billing cyclesper referred subscriber, beginning with the month in which the subscriber’s first paid invoice is recorded. No commission is earned for invoices after the 12th month, regardless of whether the subscriber remains active.

If a referred subscriber cancels and later re-subscribes, the re-subscription is treated as a new attribution only if a new referral click occurs within a fresh 60-day attribution window. Lapsed subscribers who return without a new referral click do not restart the earning window.

6. Payout Schedule and Method

Commissions are paid via Stripe Connect Transferto the Partner’s connected Stripe Express account. Partners must complete Stripe Connect onboarding — including identity verification and bank account linkage — before any payout can be processed.

The Company runs an automated payout sweep on the 1st of each calendar month. The sweep collects all commissions with status confirmed as of the prior month-end and issues a single Stripe Transfer per Partner for the aggregate amount. Commissions in pending status (e.g., within the 14-day audit pack refund window) are carried forward to the next sweep.

There is no minimum payout threshold. Transfers of any amount are processed in the monthly sweep. Stripe’s standard transfer timing applies; funds typically appear in the Partner’s bank account within 2 business days of the transfer date.

7. Refunds and Chargebacks

If a referred subscriber receives a full or partial refund, the corresponding commission is voided or reduced proportionally. If a commission has already been paid out, the Company will deduct the amount from the Partner’s next monthly payout. If there is no subsequent payout within 60 days, the Company may invoice the Partner directly for the overpaid amount.

Chargebacks resolved against the Company result in immediate voiding of the associated commission. Patterns of unusually high chargeback rates among a Partner’s referrals may result in program suspension at the Company’s discretion.

8. Partner Obligations

Partners agree to:

  • Represent the CLV Intelligence platform honestly and accurately. Partners may not make guarantees about outcomes, pricing, or features that differ from official platform documentation.
  • Disclose the existence of a referral relationship in any promotional content, in compliance with applicable FTC guidelines and equivalent regulations.
  • Not engage in paid search advertising that targets the Company’s branded keywords (“CLV Intelligence,” “clvintelligence.com”) without prior written consent.
  • Not use spam, unsolicited messaging, or misleading landing pages to generate referral traffic.
  • Keep their registered email address and Stripe Connect account current. Payouts to outdated or closed accounts are the Partner’s responsibility to recover.

9. Taxes

Partners are solely responsible for all taxes, levies, and withholding obligations arising from commissions received under this Agreement. The Company will issue a Form 1099-NEC (or equivalent) to US-based Partners whose annual commissions meet the applicable reporting threshold. Partners outside the United States are responsible for compliance with their local tax obligations. The Company does not withhold taxes on commission payments.

10. Disputes

Partners may raise a commission dispute by contacting support@clvintelligence.com within 60 daysof the payout date in question. Disputes submitted after 60 days are not eligible for review. The Company will respond within 10 business days with either a correction or a written explanation. The Company’s commission records, drawn from Stripe webhook events and the referral_conversions ledger, are the authoritative source for dispute resolution. This Agreement controls over any conflicting provision in the general Terms of Service with respect to commission disputes.

11. Termination

Either party may terminate this Agreement at any time with written notice to the other party. The Company will provide 30 days’ notice before terminating the program broadly; individual Partner accounts may be suspended immediately for breach of Section 8 or fraudulent activity.

On termination, commissions already recorded and confirmed for prior attributed subscribers continue to accrue and pay out per Section 6 until the 12-month earning window for each subscriber expires naturally. No new attributions are recorded after the termination effective date.

12. Limitation of Liability

The Company’s total liability to a Partner under this Agreement in any 12-month period is limited to the commissions actually paid to that Partner during the same period. The Company is not liable for indirect, incidental, or consequential damages arising from participation in the program, including lost profits from prospects who did not convert within the attribution window.

13. Governing Law

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any dispute not resolved under Section 10 shall be submitted to binding arbitration in Mecklenburg County, North Carolina, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Entire Agreement; Amendments

This Agreement, together with the CLV Intelligence Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to the Partner Program. The Company may update this Agreement at any time by posting a revised version at this URL. Continued participation in the program after the effective date of a revision constitutes acceptance. Material changes to commission rates or earning windows are subject to the notice requirements in Section 4.3 and Section 11.
